Terms and Condition

1. General Provisions

1.1. In these General Terms and Conditions, the following words and expressions shall have the following meaning:

  • “the Seller” means Covex Trade Ltd.
  • “the Customer”, “the Buyer”, “the Purchaser” means any person or business to whom the Seller has agreed to supply Products;
  • “Product” means product / products and services sold by the Seller;
  • “Contract” means an order from the Customer to purchase Products accepted in writing by the Seller pursuant to the terms hereof together with these General Conditions of Sale;
  • “Due Date” means the date of payment arrived at after considering the credit period appearing on the sales invoice from the date of the invoice.

1.2. Products are sold to the Customer subject to these General Conditions. In the event that there is an existing agreement entered into by the Customer and Seller for the supply of the Products, the terms and conditions in such agreement shall prevail. Any conditions contained in any purchase order or other document of the Customer, except those specifically agreed to in writing by the Seller, shall be void and of no effect. No variation of these General Conditions shall be binding unless agreed in writing by duly authorised officers of the Seller and the Customer.

1.3. If any provision of these General Conditions is held by any court or competent authority to be void or unenforceable in whole or in part, the validity of the other provisions of these General Conditions and the remainder of the provision in question shall not be affected.

1.4. Any order from the Customer to the Seller to purchase Products from the Seller that is not accepted in writing by the Seller within 7 (seven) working days shall be deemed as rejected.

1.5. The Customer confirms that it complies with all laws to which it is subject.

2. Resale by the Customer

2.1. The Products shall not be resold by the Customer except in or from the containers supplied by the Seller and exactly as supplied by the Seller or as otherwise authorised in writing by the Seller.

2.2. The Customer shall incorporate the conditions set out in Clauses 2.1 in all resales of the Products except in the case of retail sales to persons not buying for re-sale. Customer will also procure that any person purchasing the Products from the Customer incorporates similar conditions (including this procurement obligation) in all such re-sales and if requested by the Seller will assign the benefit of those conditions to the Seller.

3. Liability

No warranty or representation is made, whether express or implied, as to the use, sufficiency, merchantability, or fitness for any purpose whatsoever of the goods supplied, unless explicitly stated so in writing by Seller. Information given by Seller on the quality, composition or application purposes shall only be construed as a warranty if explicitly stated in the form of a warranty in the written sales agreement. Purchaser shall hold harmless and indemnify Seller for and against any claims for damages, whether from tort or otherwise, resulting from the use or sale by purchaser of the goods supplied, unless such damages are the direct result of a breach of an explicit written warranty given by Seller, except in case of gross negligence or willful misconduct on the part of Seller. Seller’s liability shall not exceed the net sale price of the goods concerned. In no event shall Seller’s liability include indirect or consequential damages.

In case of defect product is delivered claims for rescission of contract or reduction of purchase price shall be granted only if the defect cannot be remedied within an appropriate period, if subsequent performance will incur unreasonable expenses, is unacceptable or must be considered as failed for other reasons. Buyer shall, however, have no right to rescind the contract in case of minor defects. If the defect can be put down to a violation of operating, maintenance and installation instructions, improper use or storage, faulty or negligent handling or assembly, natural wear and tear or tampering with the delivery item by the Buyer or a third party Buyer has no right to any kind of claim against Seller.

Buyer shall allow Seller to promptly inspect any rejected product.

4. Health, Safety and Environment

Carefully read and apply the information in the product safety sheet.

Buyer has full responsibility to comply to any local legislations.

5. Ethical & Moral conduct

Buyer shall comply with all laws governing its activity, and consequently shall fully assume all administrative and legal consequences in case of non-compliance with these regulations, without Seller’s liability be involved. The Buyer shall comply and procure that its directors, employees and personnel comply with all applicable laws at all times.

6. Delivery and Return/ Refund

Agreed delivery dates and times shall be regarded as approximations unless expressively stated in order confirmation. Seller is entitled to deliver partial deliveries if of any reason appropriate. Seller reserves the right to deliver quantities confirmed in the order confirmation plus-minus 10%.

Buyer shall immediately at delivery inspect the product. In case of any discrepancy in quality, quantity or damage in delivered products¹ the buyer shall immediately and within 24 hours of receipt of product notify Seller in writing including documentation and pictures. Seller does not receive any returned good from Buyer unless explicitly approved in writing. Seller hold the right to reject products that have been damages on its way from Buyer or reject products that has been opened, changed or in any other way mistreated by the Buyer.

6.1 Damage in delivered products¹ buyer will receive a full refund if products got damaged during transportation and buyer received those damaged products.  If only part of the whole order is returned due to damages during transportation; Customer will receive a refund for the returned product only. 

6.2 Non Damaged Products If Customer not satisfied with products, a full refund within 7-days and store credit for up to 15 days. To be eligible for the return and refund (reason is “Not Satisfied”), product must be in the same condition that customer received it in, including receipt and original packaging and not opened. Once customer’s return is received and inspected, Seller will send customer an email to notify that seller have received their returned item. Seller will also notify customer of the approval or rejection of the refund. If customers are approved, then the refund will be processed, and a credit will automatically be applied to customer credit card or original method of payment, within 3 days.

 If 15 days or more have passed from purchase date, Seller cannot offer buyer a refund or store credit. The cost of shipping will not be refunded.  The total refund amount will be the price of the product only. There will also be a mandatory restocking fee between 10% to 30% for non-defective / non damaged products, depending on the products buyer purchased. Customer may be responsible for paying for their own shipping costs for returning the products. Shipping costs are non-refundable. If customer receive a refund, the cost of return shipping will be deducted from the refund amount. Depending on where customer live, the time it may take for customer exchanged product to reach their shipping address, may vary. If customers are shipping an item over $100, should consider using a trackable shipping service or purchasing shipping insurance. Seller can not guarantee that they will receive customer returned item.

7. Intellectual Property

Sale of Products to the Customer under these General Conditions or under any Contract of which these form part shall not impart to Customer any rights whatsoever in any trademark, trade dress, or other form of intellectual and industrial property associated with the Products.

8. Force Majeure

The Seller shall be under no liability whatsoever for failure to fulfill any order in whole or in part if such failure is due to any cause or event of whatever nature which is beyond the Seller’s reasonable control or which makes such fulfillment impossible or illegal.  An event of Force Majeure includes; acts of God, accidents, fire, explosion, flood, storms, snow storm, icy road condition, strikes, riots, civil commotion, war (declared or undeclared), restrictions or prohibitions imposed by public authorities, government and/or regulation, and any other occurrence that is considered an event of Force Majeure under the laws of Seller’s provinces, states or geographical location.

Buyer has at any time the full responsibility to ensure suitability of the product and do necessary tests or research prior to use. Some products sourced independently, sold those at low price also does not provide any warranties.

Any price based on present raw material price, energy price, exchange rates, duties, taxes, freight, storage costs, insurance charges, market condition and supply chain issue. The Seller can at any given time alter sales price if any of the above costs are changed prior to delivery of the product. On the other hand, the Buyer shall have the right in such circumstances to cancel the order in writing within 3 days.
